1. Acceptance of Terms
By accessing or using any Cecula product, service, application, platform, or program (collectively “Services”), you agree to be bound by these Terms of Service. If you do not agree, do not use our Services.
2. Eligibility
You must be at least 18 years old or have the legal capacity to enter into a binding agreement. By using our Services, you confirm that you meet these criteria.
3. Cecula Services
Cecula offers a suite of products and programs including:
- Flow: Business automation, workflows, CRM, accounting, and e-commerce.
- DartPro: Enterprise-grade SMS platform with CRM features.
- Sync: SIM hosting and infrastructure for two-way messaging.
- EduText: Messaging and engagement platform for educational institutions.
- Academy: Training programs and onboarding resources.
- Affiliate Program: Commission-based referral system.
- DartClub: Community and loyalty-based rewards system.
Service access may be subject to separate agreements or documentation.
4. Account Registration
To use any Cecula service, you must create an account. You agree to:
- Provide accurate, complete, and up-to-date information.
- Maintain the security of your login credentials.
- Notify us immediately of any unauthorized use of your account.
Cecula is not liable for loss or damage arising from failure to comply with these obligations.
5. Use of Services
You agree to use our Services only for lawful purposes and in compliance with:
- Applicable Nigerian laws and regulations (including NDPR).
- Industry best practices for communication and data usage.
- Acceptable Use Policies specific to each product.
You must not:
- Use Cecula platforms to send spam, threats, or fraudulent content.
- Attempt to reverse-engineer or interfere with our infrastructure.
- Host SIM cards in illegal, unlicensed, or abusive use cases.
6. Payments & Fees
- Fees vary per product and usage volume.
- All fees are due upfront unless otherwise stated.
- Failure to make timely payments may result in account suspension or termination.
- For on-premise demos, travel and logistics fees may apply.

7. Intellectual Property
All content, trademarks, and systems used in Cecula Services are the property of Cecula Ltd. or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of our services without prior written consent.
8. Data Protection & Privacy
Your data is governed by our Privacy Policy, in compliance with the Nigeria Data Protection Regulation (NDPR). By using our Services, you consent to the collection and processing of your data as described therein.
9. Third-Party Services
Some features (e.g., payments, accounting, telecom routing) may integrate with third-party providers. Cecula is not liable for service disruptions or damages caused by third-party failures. Use of such services is subject to their respective terms.
10. Termination
We may suspend or terminate your account if:
- You breach these Terms or any product-specific rules.
- You use the platform for illegal, abusive, or fraudulent activity.
- You fail to make payments or respond to compliance requests.
You may terminate your use of the Services at any time via your dashboard or by written notice.
Upon termination:
- Your access to our services will cease.
- We may retain data only as required by law or for audit purposes.
11. Disclaimers
Cecula provides services “as is” and “as available.” We do not warrant that:
- Services will be uninterrupted or error-free.
- All messages will be delivered due to third-party dependencies.
We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
12. Limitation of Liability
To the fullest extent permitted by law, Cecula shall not be liable for:
- Indirect, incidental, or consequential damages.
- Loss of profits, data, or goodwill.
- Service disruptions caused by external providers or force majeure.
Total liability shall not exceed the amount paid by you in the 3 months preceding the event giving rise to the claim.
13. Indemnity
You agree to indemnify and hold harmless Cecula Ltd., its directors, staff, and affiliates from any claims, losses, or liabilities arising from your misuse of our Services or breach of these Terms.
14. Modifications
We reserve the right to update or modify these Terms at any time. Significant changes will be communicated via email or dashboard notification. Continued use of our Services after changes constitutes acceptance.
15. Governing Law
These Terms shall be governed by and construed under the laws of the Federal Republic of Nigeria. Any dispute shall be subject to the jurisdiction of the courts in Akwa Ibom State, Nigeria.
